Terms and Conditions

1. Scope of Services

This document outlines the terms and conditions governing the services ("Services") provided by Roundihmp, referred to as "the Company," to the Customer. These Services encompass, but are not limited to:

• Document storage and retrieval
• Document organization and indexing
• Document sharing with authorized parties
• Workflow creation and management
• Remote document access

2. Payment Terms

The Customer is obligated to remit a monthly subscription fee to the Company for the provision of these Services. Subscription fees will be invoiced and billed in advance on a monthly basis.

3. Term and Renewal

This agreement commences on the Effective Date and continues in effect for one (1) year from that date. Following the initial term, it shall automatically renew for successive one-year periods unless either party provides written notice of termination at least thirty (30) days before the current term's conclusion.

4. Intellectual Property

All intellectual property produced or employed during the provision of Services under this agreement, including but not limited to documents, images, and software, shall be the exclusive property of the Company.

5. Confidentiality

The Customer agrees to maintain strict confidentiality concerning all information and data disclosed by the Company. Disclosure of such information to third parties is prohibited without the prior written consent of the Company.

6. Limitation of Liability

The Company's liability for damages arising from or associated with this agreement is restricted to the total amount of subscription fees paid by the Customer. The Company shall not be held responsible for any indirect, incidental, consequential, or punitive damages.

7. Entire Agreement

This agreement constitutes the comprehensive understanding between the parties, supplanting all prior or contemporaneous communications, representations, or agreements, whether oral or written.

8. Severability

Should any provision of this agreement be deemed invalid or unenforceable, it shall be excised from the agreement, leaving the remaining provisions in full force and effect.

9. Governing Law

This agreement shall be governed by and construed in accordance with the laws of the specified jurisdiction.

10. Waiver

No waiver of any provision within this agreement shall be effective unless it is in writing and bears the signatures of both parties.

11. Headings

The headings utilized in this agreement are for convenience only and shall not affect the interpretation of its provisions.
